Agreement to Terms
These Terms of Service constitute a legally binding agreement between you and Victoria McGovern, doing business as Plings, governing your access to and use of the website located at plings.net and any related content, features, tools, alerts, communications, or services provided by Plings (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree, you must not use the Service.
By using the Service, you represent and warrant that you have legal capacity to enter into these Terms, and, if you are using the Service on behalf of an entity, that you are authorized to bind such entity and that all references to "you" in these Terms refer to that entity. These Terms include a binding arbitration agreement and a class action waiver, which affect your rights. Please read them carefully.
Plings may revise these Terms at any time in its discretion. Material changes will be indicated by updating the "Last Updated" date below or by providing notice through the Service or via email. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
Definitions
"Plings," "we," "us," and "our" refer to the Service operated by Victoria McGovern. "You" and "your" refer to the individual or entity accessing or using the Service. "Content" includes all information, data, text, images, graphics, audio, video, software, code, market data, analytics, alerts, and other materials available via the Service. "User Content" means any content that you submit, post, upload, or otherwise make available through the Service.
Service Overview
Plings is a hub for crypto pings and links—allowing users to discover coins, exchanges, and upcoming airdrops in one place; track token listings; compare markets; and receive alerts on opportunities. The Service may include curated news, analytics, knowledge guides on blockchain, DeFi, and security best practices, and tools tailored for the crypto community. Plings is informational in nature and does not provide investment, legal, accounting, or tax advice, nor does it offer brokerage, exchange, custody, or execution services.
Eligibility and Use Restrictions
You must be at least 18 years of age to use the Service. The Service is intended for users located in jurisdictions where use of the Service is lawful. You are responsible for ensuring that your use is compliant with all applicable laws, rules, and regulations, including those relating to digital assets, securities, commodities, data privacy, and sanctions.
Plings may restrict or deny access to any user or region at any time, with or without notice, including for compliance or risk reasons.
Accounts and Security
To access certain features, you may need to create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to promptly notify Plings of any suspected unauthorized use or security breach. Plings is not liable for any loss or damage arising from your failure to safeguard your account.
Intellectual Property Rights
The Service and all Content, including without limitation text, graphics, logos, icons, images, data compilations, software, and compilations thereof, are owned by or licensed to Plings and are protected by U.S. and international intellectual property laws. Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any part of the Service or Content without prior written consent from Plings.
Plings grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes, strictly in accordance with these Terms.
User Content and License Grant
By submitting, posting, or otherwise making available User Content, you grant Plings a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, translate, distribute, perform, display, and otherwise use such User Content in connection with operating, improving, and promoting the Service. You represent and warrant that you own or control all rights in and to the User Content and have the right to grant the license above.
Plings may remove or disable access to any User Content for any or no reason, including if such content violates these Terms or applicable law.
Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Infringe, misappropriate, or violate intellectual property, privacy, publicity, or other rights of others.
- Post or transmit malicious code, malware, or engage in activities that disrupt, degrade, or interfere with the Service or its security.
- Scrape, crawl, harvest, or use automated means to access the Service without prior written consent, except as permitted by applicable law.
- Attempt to circumvent any access or usage restrictions or rate limits.
- Engage in market manipulation, wash trading, spoofing, front-running, or any deceptive or abusive practices relating to digital assets.
- Use the Service to provide investment advice, or misrepresent information as endorsed by Plings.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code of the Service, except to the extent such restriction is prohibited by law.
Market Data, Airdrops, and Third-Party Services
The Service may display or link to third-party content, market data, prices, analytics, airdrop information, token listings, or exchange data (collectively, "Third-Party Materials"). Third-Party Materials are provided solely for convenience and informational purposes. Plings does not control, endorse, or assume responsibility for Third-Party Materials and makes no representation as to their accuracy, timeliness, completeness, reliability, or availability.
Your interactions with third-party websites, products, or services are solely between you and the third party and may be subject to separate terms and privacy policies. You assume all risk arising from your use of Third-Party Materials, including participation in airdrops or token offerings.
No Investment, Legal, or Tax Advice
Content provided by the Service is for informational and educational purposes only and does not constitute investment, legal, accounting, or tax advice, solicitation, or recommendation to buy, sell, or hold any security, commodity, or digital asset. You should consult your own qualified advisors before making any decisions.
No Brokerage, Custody, or Execution
Plings is not a broker, dealer, investment adviser, commodity trading advisor, money services business, exchange, or custodian, and does not execute transactions or hold assets for users. The Service does not facilitate the purchase, sale, or custody of digital assets.
Risk Disclosure for Digital Assets
Digital assets and related markets are highly volatile and risky. You may lose the entire value of your investment. Prices and market data may fluctuate rapidly, be inaccurate, or become unavailable. Regulatory changes, forks, vulnerabilities, loss of private keys, cyberattacks, fraud, and other factors can result in significant losses. You are solely responsible for evaluating risks and for complying with applicable laws and tax obligations.
Compliance; Export Controls and Sanctions
You represent that you are not located in, organized in, or a resident of, and will not access the Service from, any jurisdiction where such access is prohibited, including jurisdictions subject to comprehensive U.S. sanctions. You further represent that you are not a sanctioned person or otherwise prohibited from receiving services under U.S. law. You agree to comply with all applicable export control and sanctions laws and regulations of the United States and other relevant jurisdictions.
Fees; Billing; Refunds
Plings may offer free and paid features. If you purchase any paid feature, you agree to pay the applicable fees and taxes. Except as required by law, fees are non-refundable. Plings may modify fees upon reasonable notice, and such changes will apply prospectively.
Alerts, Notifications, and Communications
The Service may provide configurable alerts, notifications, or "pings". Delivery, timing, and accuracy of alerts are not guaranteed and may be delayed or fail for reasons beyond our control. Alerts are informational only and should not be relied upon for trading or investment decisions. By providing your contact information, you authorize Plings to send you transactional and administrative communications. You may opt out of certain non-essential communications subject to applicable law.
Privacy
Your use of the Service is subject to our privacy practices. Plings may collect and process data as necessary to operate and improve the Service, comply with legal obligations, and protect our rights and users. DMCA and Copyright Policy
Plings respects intellectual property rights. If you believe that content on the Service infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act by providing the following to our designated agent: (1) your physical or electronic signature; (2) identification of the copyrighted work claimed to have been infringed; (3) identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate the material; (4) your contact information; (5) a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (6) a statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the owner. Suspension; Termination
Plings may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, pose a risk, or for any other reason in our discretion. Upon termination, your license to use the Service terminates immediately. Sections that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous provisions.
Disclaimers of Warranties
To the fullest extent permitted by law, the Service and all Content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade. Plings does not warrant that the Service will be uninterrupted, secure, or error-free; that defects will be corrected; or that Content will be accurate, complete, current, or free of harmful components.
Limitation of Liability
To the fullest extent permitted by law, in no event shall Plings, its owner, affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if Plings has been advised of the possibility of such damages.
To the fullest extent permitted by law, Plings's total liability for any claim arising out of or relating to the Service shall not exceed the greater of one hundred U.S. dollars (US$100) or the total amount you paid to Plings for the Service in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability, so some limitations above may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Plings, its owner, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (1) your use of the Service; (2) your violation of these Terms; (3) your violation of any applicable law or third-party rights; or (4) User Content you submit or make available.
Arbitration Agreement and Class Action Waiver
You and Plings agree to resolve any past, present, or future disputes, claims, or controversies arising out of or relating to these Terms or the Service (collectively, "Disputes") through binding individual arbitration, rather than in court, except that you may assert claims in small claims court if they qualify. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
The arbitration will be administered by the American Arbitration Association under its applicable rules. The seat of arbitration will be in California, and unless the arbitrator determines otherwise, the hearing location will be in or near Stanislaus County, California. You and Plings each waive the right to a jury trial.
Class and representative actions are not permitted. You and Plings may bring claims only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
If a court or arbitrator determines that the class action waiver is unenforceable as to a particular Dispute, then the arbitration agreement shall be unenforceable as to that Dispute and the Dispute must be brought in a court of competent jurisdiction as set forth below.
Governing Law; Venue
These Terms and any Dispute shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles, and the United States. Subject to the arbitration agreement above, the exclusive jurisdiction and venue for any action not subject to arbitration shall be the state and federal courts located in Stanislaus County, California, and you consent to the personal jurisdiction of such courts.
Third-Party Terms; Open Source; Feedback
Certain features may rely on third-party terms or open-source components. To the extent required by their licenses, such terms are incorporated by reference. You grant Plings a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate into the Service any suggestions, ideas, or feedback you provide, without compensation.
Beta Features and Trials
Plings may offer beta or trial features that are experimental and may be modified or discontinued at any time. Such features are provided "as is" without commitments or warranties and may be subject to additional terms.
Children’s Use
The Service is not directed to or intended for children under 13. You may not use the Service if you are under 13.
Changes to the Service
Plings may modify, suspend, or discontinue any part of the Service at any time, with or without notice, including adding or removing features, content, or availability.
Notices
Plings may provide notices by posting to the Service, by email to the address associated with your account, or by mail. You agree that all electronic communications satisfy any legal requirement that such communications be in writing.
Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without prior written consent from Plings. Plings may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
Severability; Waiver
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. No waiver of any term will be deemed a further or continuing waiver of such term or any other term.
Force Majeure
Plings will not be liable for any delay or failure to perform due to events or circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor conditions, governmental actions, utility or telecommunications failures, or internet disturbances.
Entire Agreement
These Terms, together with any additional terms incorporated by reference and any policies communicated to you, constitute the entire agreement between you and Plings regarding the Service and supersede all prior or contemporaneous agreements or understandings.
